1. General provisions
These Terms of Use (the “Terms of Use”) govern access to and use of the website www.axel.mk (the “Website”) by every visitor or registered user (the “User”).
The Terms of Use are separate from, and in addition to, the General Terms of Purchase, which apply specifically to orders and purchase contracts concluded through the Website. By accessing and using the Website, the User confirms that they have read, understood and agree to these Terms of Use.
The Terms of Use are prepared in accordance with the Law on Obligations, the Law on Electronic Commerce, the Law on Copyright and Related Rights (“Official Gazette of the RM” No. 115/2010, as subsequently amended) and other applicable regulations of the Republic of North Macedonia.
2. Intellectual property
All content on the Website, including but not limited to text, graphics, logo, layout (design), photographs, product descriptions, software code and database, is owned by the Trader or by third parties who have granted the Trader appropriate permission for its publication, and is protected under the Law on Copyright and Related Rights and the Law on Industrial Property.
No intellectual property right in the content of the Website is transferred to the User. Copying, reproduction, distribution, public display, alteration or commercial use of the content, in whole or in part, is prohibited without the Trader's prior written consent, except for personal, non-commercial use within the ordinary use of the Website (e.g. browsing products and ordering).
The trademarks, logos and marks displayed on the Website are the property of the Trader or their respective holders and may not be used without prior written consent.
3. Permitted and prohibited use
The User agrees to use the Website only for lawful purposes and in accordance with these Terms of Use.
The User is prohibited from, among other things:
- accessing or attempting to access, without authorisation, the systems, accounts or data of the Website;
- using automated tools (bots, scrapers, crawlers) to collect data from the Website without prior written consent;
- uploading or transmitting viruses, malicious code, or any content that could disrupt the functionality or security of the Website;
- using the Website to send unsolicited commercial messages (spam), commit fraud, impersonate others, or engage in any unlawful activity;
- entering false, third-party, or misleading information when registering or ordering.
The Trader reserves the right to temporarily or permanently deny access to a User acting in breach of these Terms of Use.
4. User account
If the Website allows registration of a user account, the User must provide accurate, complete and up-to-date information and is responsible for keeping their login credentials (username and password) confidential, as well as for all activity carried out through their account.
The User must immediately notify the Trader at info@axel.mk if they suspect unauthorised access to their account.
5. User content
If the Website allows comments, ratings or reviews of products, the User guarantees that the content they publish is their own, does not infringe third-party rights, and is not offensive, defamatory, discriminatory or otherwise unlawful.
By publishing content on the Website, the User grants the Trader a free, non-exclusive licence to display, reproduce and use it in connection with operating the Website. The Trader reserves the right to remove content that breaches these Terms of Use.
6. Links to third-party sites
The Website may contain links to third-party websites, provided to make it easier to access additional information. The Trader has no control over the content of those sites and is not responsible for their accuracy, security or privacy practices. Accessing linked sites is done at the User's own risk.
7. Availability of the Website
The Trader aims to keep the Website continuously available but does not guarantee uninterrupted or error-free operation. The Trader reserves the right to occasionally limit or suspend the availability of the Website for technical maintenance, upgrades, or reasons beyond its control.
8. Limitation of liability
The Website and its content are provided “as is”, without warranties of any kind, except those that cannot be excluded under applicable law.
The Trader is not liable for damage arising from: inaccuracies in product descriptions caused by technical errors, temporary unavailability of the Website, actions of third parties (including unauthorised access to the Website's systems), or use of the Website contrary to these Terms of Use.
Nothing in this section limits consumer rights established by mandatory regulations, including the General Terms of Purchase and the Law on Consumer Protection.
9. Personal data protection and cookies
The processing of Users' personal data, as well as the use of cookies on the Website, are governed by the Privacy Policy and the Cookie Policy, published on the Website and forming an integral part of these Terms of Use.
10. Governing law and jurisdiction
These Terms of Use, and any dispute arising from them, are governed by the law of the Republic of North Macedonia. Any dispute that cannot be settled amicably falls under the jurisdiction of the competent court according to the Trader's registered office, unless a mandatory regulation provides otherwise.
11. Changes to these Terms of Use
The Trader reserves the right to periodically amend these Terms of Use. Amended terms are published on the Website with an indicated last-updated date and apply from the date of publication.
