General terms of purchase

1. General provisions
These General Terms of Purchase (the “Terms”) govern the relationship between the Trader and any natural or legal person (the “Buyer” or “Consumer”) who orders products through the website www.axel.mk (the “Website”).
The Terms are prepared in accordance with: the Law on Obligations (“Official Gazette of the RM” No. 18/2001, as subsequently amended), the Law on Consumer Protection (“Official Gazette of the RNM” No. 236/2022, as subsequently amended), the Law on Electronic Commerce (“Official Gazette of the RM” No. 133/2007, as subsequently amended), the Law on Personal Data Protection (“Official Gazette of the RNM” No. 42/2020 and 294/2021), and other applicable regulations of the Republic of North Macedonia.
By placing an order through the Website, the Buyer confirms that they have read, understood and agree to these Terms, as well as the Privacy Policy, the Cookie Policy and the Delivery and Payment Terms, which form an integral part of these Terms.
The Trader reserves the right to amend these Terms at any time. Amended terms are published on the Website and apply to orders placed after the date of publication.
2. Conclusion of the sales contract
Products displayed on the Website constitute an invitation to submit an offer, not an offer within the meaning of Article 28 of the Law on Obligations.
A distance sales contract is considered concluded at the moment the Trader confirms the Buyer's order electronically (by email or via a notice on the Website).
Before finalising the order, the Buyer can review and amend the entered data (type and quantity of products, delivery address, payment method) before confirming the order, in accordance with Article 6 of the Law on Electronic Commerce.
The Trader reserves the right to refuse or cancel an order in case of exhausted stock, an obvious technical error in the price or product description, or suspected abuse, and the Buyer will be notified immediately.
3. Prices
All prices on the Website are stated in denars (MKD) and include the statutory rate of value added tax (VAT).
The delivery cost is not included in the product price, unless expressly stated otherwise, and is shown separately before the order is finalised, in accordance with the Delivery and Payment Terms.
The Trader reserves the right to change prices; such a change does not affect already-confirmed orders.
4. Payment and delivery
Payment methods and delivery terms are set out in detail in the separate “Delivery and Payment Terms” document published on the Website, which forms an integral part of these Terms.
5. Consumer's right of unilateral withdrawal (right of withdrawal)
The Consumer has the right, without any cost and without giving a reason, to withdraw from a distance contract within 14 (fourteen) calendar days from the day the product is received, in accordance with the Law on Consumer Protection.
To exercise this right, the Consumer must submit a written withdrawal statement (by email to info@axel.mk or by letter) before the 14-day period expires. Where needed, the Trader provides a withdrawal form on the Website.
The Consumer must return the product without undue delay, and no later than 14 days from the day the withdrawal statement is submitted, at their own expense, unless the Trader has agreed to bear the return costs itself.
The Trader will refund the amount received (including delivery costs up to the amount of the cheapest standard delivery method it offers) no later than 14 days from the day the withdrawal statement is received; payment may be withheld until the product is returned or proof that it has been sent back is provided.
Exceptions to the right of withdrawal
The right of unilateral withdrawal does not apply to, among others: products made to the Consumer's specifications or clearly personalised, perishable goods, sealed products that cannot be returned for hygiene reasons once unsealed, digital content delivered immediately after the Consumer's explicit prior consent, and other cases provided for by the Law on Consumer Protection.
6. Conformity, complaints and warranty
The Trader is liable for any non-conformity of the product with the contract that exists at the time of delivery and becomes apparent within two years of the delivery date, in accordance with the Law on Consumer Protection.
The Buyer may submit a complaint by email to info@axel.mk, stating the reasons for the complaint and enclosing proof of purchase (receipt/invoice/order confirmation).
The Trader must respond to the complaint in writing within 15 days of receiving it and, if it is well-founded, repair or replace the product, reduce the price accordingly, or refund the amount paid, in accordance with the Law on Consumer Protection.
7. Protection of personal data
The processing of Buyers' personal data is carried out in accordance with the Privacy Policy published on the Website, and in accordance with the Law on Personal Data Protection and Regulation (EU) 2016/679 (GDPR).
8. Liability
The Trader is not liable for damage caused by inaccurate information entered by the Buyer, force majeure, interruptions in the operation of the Website due to technical reasons beyond the Trader's control, or delivery delays caused by third parties (courier services).
9. Out-of-court and court dispute resolution
The Trader and the Buyer will endeavour to resolve all disputes amicably. The Consumer has the right to submit a request for out-of-court dispute resolution to the competent body for alternative resolution of consumer disputes, in accordance with the Law on Consumer Protection.
If a dispute is not resolved amicably or out-of-court, the competent court according to the Trader's registered office has jurisdiction, unless a mandatory regulation provides for a different jurisdiction.
10. Final provisions
For any matters not governed by these Terms, the provisions of the Law on Obligations, the Law on Consumer Protection and other applicable regulations of the Republic of North Macedonia apply.
These Terms take effect on the day they are published on the Website.
